Terms of Service

1. Acceptance of Terms

By creating an account or using Quarmup ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

Quarmup is a group event coordination tool that helps organizers manage recurring activities — such as pickup sports games, book clubs, and online meetups — by tracking RSVPs and notifying members when a minimum attendance threshold (quorum) is reached. The Service is provided "as is" and may change or be discontinued at any time.

Quarmup is currently offered as an open beta and side-project service. Features, pricing, availability, and functionality may change at any time without notice.

3. Eligibility

You must be at least 13 years old to use Quarmup. By using the Service you represent that you meet this requirement and have the legal capacity to enter into a binding agreement.

4. Your Account

Access to Quarmup is provided via email magic links — no password is required. You are responsible for keeping your email account secure. You agree to notify us immediately if you suspect unauthorized access to your account. We are not liable for any loss resulting from unauthorized use of your account.

5. Acceptable Use

You agree not to use Quarmup to:

• Harass, threaten, or harm other users
• Send unsolicited bulk messages or spam
• Post unlawful, defamatory, obscene, or fraudulent content
• Attempt to gain unauthorized access to any part of the Service or other users' accounts
• Interfere with or disrupt the integrity or performance of the Service
• Use automated means (bots, scrapers) to access or collect data from the Service
• Violate any applicable local, state, national, or international law

We reserve the right to suspend or terminate accounts that violate these rules, without prior notice.

6. User-Generated Content

You retain ownership of any content you post on Quarmup (event details, comments, RSVPs). By posting content, you grant Quarmup a limited, non-exclusive, royalty-free license to store, display, and transmit that content solely as necessary to operate the Service. We do not claim ownership of your content and will not use it for any other purpose.

You are solely responsible for the content you post. Do not post content you do not have the right to share.

If you send us ideas, suggestions, or product feedback, you grant us a non-exclusive, worldwide, royalty-free license to use that feedback to improve the Service without any obligation to compensate you.

7. Paid Plans, Billing, and Cancellations

Some features may require a paid subscription. Paid plans are billed through our third-party payment processor (Stripe) on a recurring basis until canceled.

• Subscriptions renew automatically unless canceled before the next billing date.
• You can cancel through the billing portal available in your account profile.
• Cancellation takes effect at the end of the current billing period unless stated otherwise.
• Except where required by law, fees are non-refundable.
• You are responsible for any applicable taxes imposed by your jurisdiction.
• We may change pricing prospectively with reasonable notice in-app or by email.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

WE DO NOT GUARANTEE UPTIME, DATA PRESERVATION, EMAIL OR NOTIFICATION DELIVERY, OR THAT THE SERVICE WILL MEET ANY SPECIFIC PERFORMANCE OR BUSINESS REQUIREMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, QUARMUP AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID, IF ANY, TO USE THE SERVICE DURING THE THREE MONTHS PRECEDING THE CLAIM.

10. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, with or without notice. You may stop using the Service at any time. Upon termination, your right to use the Service ceases immediately.

11. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts located in California.

Before filing a claim, you agree to first contact us at legal@quarmup.com and attempt in good faith to resolve the dispute informally for at least 30 days. To the extent permitted by law, claims must be brought on an individual basis, and not as part of a class, collective, or representative action.

12. Copyright and IP Complaints

If you believe content on Quarmup infringes your copyright or other intellectual property rights, send a notice to legal@quarmup.com with enough detail for us to identify and investigate the material at issue.

13. Miscellaneous

You may not use the Service in violation of applicable export control or sanctions laws. We are not liable for delays or failures caused by events beyond our reasonable control (including outages, infrastructure failures, or third-party service disruptions). If any provision of these Terms is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. These Terms are the entire agreement between you and Quarmup regarding the Service.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the effective date at the top of this page. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
